Constitution of the Ordnance Survey Photographic Society
NAME
The society will be known as the Ordnance Survey Photographic Society (OSPS).
AIMS
The aim of the Society is to promote interest in, and knowledge of, photography in all its forms; encouraging members to achieve a high standard of work and to seek recognition for this work in the wider photographic arena. To this end the Society will be affiliated to the Southern Photographic Federation.
MEMBERSHIP
Membership will be available to all current and retired employees of Ordnance Survey, their families and personal friends, regardless of race, creed, ability or age, on payment of an annual subscription. Subscription rates will be agreed at the Annual General Meeting (AGM) which is when the membership year will start.
Prospective members may attend up to 3 meetings as “visitors”.
The maximum number of members will be dependent on any health and safety restrictions placed on the meeting location.
Any member whose behaviour fails to support the aims of the Society, or brings its name into disrepute, may be asked to leave the Society. In this event the member may appeal to the management committee.
MANAGEMENT
The Society will have a management committee comprising a Chairman, Secretary, Treasurer, and at least one other member. These posts will be filled by members nominated and elected by the membership at the AGM of the Society. Should there be insufficient nominations, or if posts become available during the year, the committee may co-opt members to fill these posts.
Committee meetings will be held at approximately monthly intervals as required and by agreement of the committee.
No remuneration will be offered to members other than personal expenses incurred in carrying out work or duties on behalf of the Society.
FINANCE
The Society will raise monies from annual membership subscription and other sources. All monies raised will be used to the benefit of Society members, primarily to maintain a series of informative, educational meetings and provide the equipment necessary to achieve this.
The Society Treasurer will be responsible for handling monies collected and disbursed by the Society. Monies will be managed through account(s) in the Societies name, payments will require authorisation by two signatories, members of the management committee. An account of all financial transactions will be kept by the Treasurer, verified by an independent checker, and presented to the membership for acceptance at the AGM. The independent checker will be appointed by agreement of the membership at an AGM or an Extraordinary General Meeting (EGM).
MEETINGS
The Society will hold weekly meetings during the winter months, normally from the first Tuesday in September to the first Tuesday in May, but these dates may be varied by agreement of members at an AGM or EGM. The Society will also aim to provide a programme of informal, outdoor summer meetings, actual dates and venues to be agreed by the organisers.
An AGM will be held at the end of the winter season. An EGM may be called at any time during the year by the committee or by a minimum of 1/3 of the membership.
Notification of items for consideration at the AGM or an EGM must be submitted to the Secretary at least 6 weeks before the meeting. The Secretary must inform members of the proposed meeting, the agenda and any background information at least 4 weeks before the meeting.
DISSOLUTION
If for any reason it should be agreed at an AGM or an EGM that the Society should be disbanded then, after meeting all existing financial commitments, any remaining funds and equipment should pass to the Southern Photographic Federation to use as they see fit in supporting other member clubs.
AMENDMENTS
Amendments to this constitution can be made by the agreement of at least 60% of members present at the AGM or an EGM. Proposed changes, together with a detailed reason for the change, must be presented to the Secretary at least 8 weeks before the proposed meeting date and the membership must be given at least 6 weeks notice to discuss the proposal.
This Constitution was approved by the membership on Tuesday 1st May 2012 at the Annual General Meeting of the Society.
